Terms of Service
These Terms of Service ("Terms") govern your use of the breana.ai website and the Breana product and applications (together, the "Services"), operated by Breana AI ("we," "us"). By using the Services, joining the waitlist, or participating in early access, you agree to these Terms.
1. What Breana is
Breana is an AI Chief of Staff for residential real estate professionals. The Services are currently offered in early access. Joining the waitlist does not guarantee access. We may grant, limit, suspend, or conclude early access at our discretion, and features may change or be discontinued during this period.
2. Eligibility
You must be at least 18 years old and able to form a binding contract. The Services are built for real estate professionals and are intended for business use.
3. Your account
You are responsible for your account credentials and for all activity under your account. Provide accurate information and keep it current. Notify us promptly at support@breana.ai if you suspect unauthorized use.
4. Your content
You retain all rights to the information you provide to the Services, including your client records, deal information, and business data ("Your Content"). You grant us a limited license to host, process, and display Your Content solely to operate and improve the Services for you. You are responsible for having the necessary rights and consents to submit Your Content, including any client information.
5. AI-generated output
Breana prepares drafts, analyses, and recommendations using artificial intelligence. Output may be inaccurate, incomplete, or outdated. You are responsible for reviewing all output before using or sending it. Breana does not provide legal, financial, tax, or brokerage advice, and nothing in the Services replaces your professional judgment or your obligations under applicable law and regulation, including license requirements, agency duties, and fair housing laws. Decisions, and the responsibility for them, remain yours.
6. Third-party services
The Services may connect to third-party services you authorize, such as Google and MLS data sources. Your use of those services is governed by their own terms and policies. Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements, as described in our Privacy Policy.
7. Acceptable use
You agree not to: use the Services to violate any law or regulation, including fair housing, telemarketing, and anti-spam laws; misrepresent AI-generated communications in a manner prohibited by law; attempt to probe, disable, or circumvent security or access systems or data you are not authorized to access; resell or provide the Services to third parties without our written consent; or use the Services to develop a competing product.
8. Intellectual property
The Services, including software, design, branding, and content we provide, are owned by Breana AI or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for your business during your period of access. No rights are granted except as expressly stated.
9. Feedback
If you send us feedback or suggestions, you grant us the right to use them without restriction or compensation.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE OR RELIABLE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BREANA AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.
12. Indemnification
You will defend and indemnify Breana AI against claims arising from Your Content, your use of the Services in violation of these Terms, or your violation of applicable law, including communications you send using drafts the Services prepared.
13. Termination
You may stop using the Services and delete your account at any time. We may suspend or terminate access for violation of these Terms or risk to the Services or other users. Sections that by their nature should survive termination do survive, including Sections 4 (license ends upon deletion as described in the Privacy Policy), 8, 9, 10, 11, 12, and 14.
14. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Suffolk County, Massachusetts, and you consent to their jurisdiction.
15. Changes to these Terms
We may update these Terms. If a change is material, we will update the date above and, where appropriate, notify you by email or through the Services before it takes effect. Continued use after the effective date constitutes acceptance.
